Private Homes Hawaii (“Agent”) has been contracted by the owner of the Property (“Owner”) to represent Owner as its agent to market, rent and/or manage the Property as a vacation rental.

By signing this Rental Agreement, Agent and Principal Guest(s) agree to the rental of the Property on the terms and conditions herein for use as a private vacation residence. This Rental Agreement is effective as of the date of booking. This Reservation is NOT confirmed until complete information of the traveling parties has been provided and the deposit has been received by Private Homes Hawaii. Private Homes Hawaii may cancel this reservation should the guest information and/or the deposit not be received in a timely manner.

Guests occupying the Property for at least one night are referred to in this Rental Agreement collectively as the “Guests”. Social guests of any of the Guests, meaning any visitors to the Property who are not staying at least one night at the Property during the term of this Rental Agreement, are referred to in this Rental Agreement as “Visitors”.

The term “Property” includes the interior and exterior of the residence, its lanai, landscape and designated parking area. Locked areas for which Guest(s) are not provided a key, such as Owner’s personal storage areas, are not included within the Property covered by this Rental Agreement. If on the Check-In Date, the Property is no longer fit for occupancy due to conditions beyond control of the Agent and or Owner, then Guest(s) agree that the Agent will strive to provide a similar property to Guest(s) subject to the terms and conditions of this Rental Agreement. If alternative arrangements cannot be made, neither Owner nor Agent shall be liable to Guest(s) beyond the return of Guest(s) payment.

COVID-19 INFORMATION

Guest is aware that Government restrictions due to COVID-19 may exist at time of travel that may include pre-travel testing, proof of vaccination, *self-quarantine, and other safety measures to ensure the health and well-being of the guest and others. Guest and their traveling party agree to review and abide by the latest guidelines as provided by the State of Hawaii, Governor's Office www.governor.hawaii.gov.

  1. DEPOSITS, PAYMENT, AND CANCELLATION POLICIES PAYMENT OF DEPOSITS The rental deposit shall be paid at the time of execution and delivery of this Rental Agreement to Agent and will be applied towards the total rent.

GUEST LIABILITY FOR DAMAGES Guest shall be liable for all damages caused to the Property during the term of this Rental Agreement, including, but not limited to all inadvertent acts or omissions or intentional actions of Guest, Guest’s family, visitors or other persons invited on to the property by Guest. This covenant shall survive the termination of this Rental Agreement.

Contemporaneously with the execution of this Rental Agreement, pursuant to the following paragraph, Guest shall provide a security deposit to Owner either in the form of a Vacation Rental Damage Protection Plan or a cash deposit in the amount of $5,000.00. The proceeds from the Vacation Rental Damage Protection Plan or the cash deposit will be used by the Owner to compensate Owner for any loss, damage or expense sustained by Owner resulting from Guest’s rental and use of the subject Property. This shall in no way limit the liability of the Guest for any and all damages exceeding the amount of the security deposit. Any and all damages exceeding the amount of the security deposit will be charged to the credit card on file as outlined in Exhibit “A” attached hereto and incorporated herein by reference and the Guest hereby approves said charges.

VACATION RENTAL DAMAGE PROTECTION

This Vacation Rental Damage plan covers unintentional damages to the rental unit that occur during your stay, provided they are disclosed to Agent prior to check-out. The policy will pay a maximum benefit of $5000. Any damages that exceed $5000 will be charged to the credit card on file. If any damage occurs to the real or personal property of the rental unit during your stay, the Insurer will reimburse the lesser of the cost of repairs or the Actual Cash Value of the Property, up to $5000. Certain terms and conditions apply. Full details of the Vacation Rental Damage coverage are contained in the Description of Coverage or Insurance Policy (www.vacationrentalinsurance.com/vacationrentaldamage). The Vacation Rental Damage plan can be purchased up to, and including at check-in. By submitting payment for this plan, you authorize and request CSA Travel Protection and Insurance Services to pay directly to Agent any amount payable under the terms and conditions of the Vacation Rental Damage Plan. Please contact Agent directly if you do not wish to participate in this plan or assignment.

VACATION RENTAL INSURANCE

Private Homes Hawaii has partnered with CSA Vacation Rental Insurance to provide coverage for you should you need to cancel your reservation. Vacation Rental Insurance reimburses for pre-paid, non-refundable expenses due to certain unforeseeable circumstances that may jeopardize your vacation investment and force you to incur unplanned expenses. We strongly recommend you purchase this valuable protection. By electing NOT to purchase this insurance, you acknowledge you have read and understand our cancellation policy.

PAYMENT OF TOTAL BALANCE

The Total Balance shall be paid no later than 60 days prior to the Check-In Date. For bookings made within 60 days of the check-in date, the total balance shall be paid at the time of the booking.

CANCELLATION POLICY (excludes “FESTIVE SEASON”)

Cancellations received prior to sixty (60) days prior to the check-in date will not be charged a cancellation fee (except for a credit card fee charged on the deposit, if applicable).

On the 60th day before the check‐in date, the deposit and any other funds paid toward the total balance become non‐refundable. This means that if a reservation is cancelled 60 or fewer days before the check‐in date, then the deposit and any other funds paid toward the total balance will not be returned and will be considered compensation for the time and administrative expenses incurred, and for the inconvenience, damages and losses caused by such cancellation. If the total balance is not paid when due, the Agent or the Owner may cancel the booking at any time thereafter upon written notice to the Principal Guest(s).

For Festive Season, the above cancellation policy applies at ninety (90) days prior to check-in.

SPECIAL CANCELLATION TERMS DUE TO COVID-19

Should a quarantine period be in effect for travel to Hawaii or if guest is under a ’no-travel’ policy from their home State, guest will be provided a full refund (less administrative fee) or option to postpone to a future date of travel (with no change fee) at the prevailing seasonal rate, with travel being completed within one (1) year of original travel dates.

LATE ARRIVALS AND EARLY DEPARTURES

In the event the Principal Guest(s) and or any other Guest arrives after the check-in date or departs prior to the scheduled departure date, no reductions or refunds will be granted.

NO SHOW

In the event of a no-show, no reductions or refunds will be granted. The deposit and any other funds paid toward the total balance will not be returned and will be considered compensation for the time and administrative expenses incurred, and for the inconvenience, damages and losses caused by such no-show.

  1. HAWAII TAXES Applicable general excise tax (currently 4.712%) and transient accommodations tax (currently 10.25% for the State of Hawaii) plus an additional 3% transient accommodations tax for Honolulu and Hawaii Island Counties, will be added to the Daily Rental Rate and all other charges payable by Guest(s) to Agent under this Rental Agreement. Should the tax rate change, Guest(s) will be responsible for and agree to pay for the rate changes.
  1. CHECK-IN, CHECK-OUT Upon arrival, an Agent will provide orientation of the Property. Check-in is after 3:00 pm local time. Check-out is required by 10:00am on the day of departure. Late check-outs of less than one day will be charged the equivalent of one full day rent unless agreed to in advance and in writing by the Owner and/or Agent.
  1. SERVICES TELEPHONE, WIRELESS INTERNET SERVICE, CABLE TV SERVICE Telephones in the Property are provided for your convenience for local telephone calls only. Wireless Internet and cable television services are provided in the Property. However, Agent and Owner are not responsible for poor quality service or interruption or loss of service or distortion or data loss during the period of occupancy and no refund or reduction in the total Rent will be made for any direct and indirect damages in connection with any interruption, loss or quality of the services mentioned above.

UTILITIES While vacation rentals generally include utilities including electric, water and gas (if applicable), guest(s) may be charged for excessive usage based on the average monthly use for the property. IMPORTANT NOTE FOR OAHU PROPERTIES WITH A MINIMUM 30-DAY RESERVATION PERIOD: Please check with our reservationist or property manager for usage ‘caps’ specific to each property prior to confirmation.

HOUSEKEEPING

Housekeeping services (i.e. linen changes, kitchen cleaning, etc.) are available upon request for an hourly fee, plus applicable taxes. Each property has a specific departure cleaning fee and may require mid-stay cleaning based on length of stay and number of guest(s). Please check with reservationist or property manager prior to confirmation.

SWIMMING POOLS AND/OR SPAS

For those homes with private swimming pools and/or spas, guest(s) agree:

  • To comply with all rules established by Owner with respect to the use of the pool/spa and related facilities, including those set forth below, and to ensure that each member of my family, guests and invitees also complies with such rules.
  • To waive and release all claims and demands for loss or damage, including claims for property damage, personal injury or wrongful death, arising directly or indirectly out of or in connection with the use of said pool/spa and related facilities that I, any member of my family or any of our guests or invitees may have against Owner, its members, managers, contractor and agents, from any and all injuries or property damage suffered by me, any members of my family or such guests and invitees.
  • To indemnify, defend and hold Owner, its members, managers, contractors and agents harmless from and against any and all claims and demands for loss or damage, including claims for property damage, personal injury or wrongful death, arising directly or indirectly out of or in connection with the use of the pool/spa and related facilities that I, any member of my family or any of our guests or invitees may have against Owner, its members, managers, contractors or agents, from any and all injuries or property damage suffered by me, any members of my family or such guests and invitees. The Guest(s) further agrees and acknowledges that the pools/spas can be very dangerous, that there is no lifeguard on duty for the pool/spa, and that the use of the pool/spa and related facilities is at the sole risk of the Guest(s), his/her family members, visitors and invitees. The Guest(s) will comply with the following rules and will cause each of his/her family members, guests and invitees to also comply with these rules: a. The use of the pool/spa is limited to no more than five (5) adults at any one time. b. Children under eighteen (16) years of age are not permitted in the pool/spa or on the pool deck at any time unless continuously chaperoned and supervised in person by a responsible adult. c. Each adult user of the pool/spa is responsible for familiarizing his/herself with the location and use of the safety equipment located near the pool/spa which shall not be removed or otherwise tampered with. d. All fences and other barriers surrounding the pool/spa and pool deck shall remain closed at all times except when entering or exiting the pool deck and no such fences or other barriers, including all self-closing and self-latching gates, shall be removed or otherwise tampered with.
  1. NO EVENTS THIS RESERVATION IS FOR QUIET RESIDENTIAL VACATION ACCOMMODATIONS ONLY. PARTIES, WEDDINGS, RECEPTIONS, LUAUS, EVENTS, AND GATHER-INGS OF ANY KIND ARE PROHIBITED. VIOLATION OF THIS RESTRICTION MAY RESULTS IN A FINE OF UP TO $10,000.
  2. NO PETS NO PETS SHALL BE ALLOWED ON THE PROPERTY. SERVICE ANIMALS WILL BE PERMITTED IN ACCORDANCE WITH FEDERAL AND STATE LAW. VIOLATION OF THIS RESTRICTION MAY RESULT IN A FINE OF UP TO $1000.
  3. GENERAL RULES AND CONDITIONS
  • The names of all guests staying at the property must be provided upon confirmation of the reservation. If the names of the guest change, this must be communicated in writing to Agent.
  • Guests of the property are subject to local noise ordinances. Loud, amplified music is not permitted. Noise complaints are subject to local law enforcement intervention. Law enforcement intervention will be deemed as a breach of this Agreement and may lead to cancellation.
  • Guests shall maintain the property in the same condition upon departure as at check-in with the exception of normal wear and tear.
  • Guest may not sublet or assign this Agreement.
  • Guest must notify agent immediately of any damage to the property or injury to any person on the property.
  • Guest shall be liable for all acts of Guest, Guest’s family, visitors or other persons invited on to the property by Guest.
  • Guest shall be responsible for returning all keys upon departure.
  • The property, which includes surrounding lanai and landscape, is designated as a non-smoking area and smoking is prohibited.
  • Use of recreational sports equipment (whether provided by the property owner or pro-cured or rented by Guest), including, without limitation, kayaks, paddle boards and boogie boards, is at the risk and sole liability of Guest. Neither the Owner nor Agent will be held responsible for any injury that may occur.

EMERGENCY CONTACTS

In the event of an emergency, contact 911. For minor repairs or problems with the villa, contact Agent or call the Private Homes Hawaii office at (808) 744-3078 (Oahu) or (808) 756-1008 (Big Island). The Principal Guest(s) agrees and acknowledges that housekeeping, maintenance and Agent may enter the Property for necessary cleaning, maintenance, repairs and other reasonable purposes.

AS A REMEDY FOR VIOLATION OF ANY OF THE STATED CONDITIONS OF RENTAL IN THIS AGREEMENT, AGENT AND/OR OWNER HAS THE RIGHT, BUT IS NOT OBLIGATED TO, TERMINATE THIS AGREEMENT AND EVICT THE PRINCIPAL GUEST(S) FROM THE PROPERTY WITHOUT ANY REFUND OF COLLECTED MONEY AND MAY KEEP ALL OR ANY PORTION OF THE SECURITY DEPOSIT.

  1. PERSONAL PROPERTY Guest(s) assume full responsibility for the personal property of all Guests and Visitors during occupancy and acknowledge that Owner and Agent are not responsible for such personal property and do not provide insurance for any loss of or damage to such personal property. Principal Guest(s) should lock the doors and windows of the Property when not present and actively monitor access through such areas. Owner and Agent assume no responsibility for any damage to or loss of any personal property left in the Property during or after occupancy. Valuables should not be left unattended at any time.
  1. CONSTRUCTION Guest(s) acknowledge that construction activities may occur at any time at an adjacent property and further acknowledge that Owner and Agent shall not be responsible for any noise or related inconvenience that may occur during occupancy. No refund or reduction in the Rent will be made in connection with any such matters.
  1. WEATHER Guest(s) may experience dissatisfaction in the weather, climate and /or location, none of which will result in a refund or reduction in the Rent.
  1. FORCE MAJEURE Neither party shall be liable in damages, however, shall maintain the right to terminate this Agreement for any delay or default in performing hereunder if such delay or default is caused by conditions beyond its control including, but not limited to Acts of God, Government restrictions (including the denial or cancellation of any export or other necessary license), wars, insurrections and/or any other cause beyond the reasonable control of the party whose performance is affected.
  1. NON-LIABILITY/ INDEMNITY OF OWNER AND AGENT Guest(s) hereby acknowledge and agree that Owner and Agent, including their respective trustees, officers, directors, attorneys, agents, and employees, and all their respective heirs, personal representatives, administrators, successors and assigns, are not and will not be liable to Guest(s) or Visitors for any injuries, death, damages and/ or losses occasioned by or from the use of the Property (including any excluded area in the Property) or due to any design, mechanical or construction defects or failures, if any, of the Property, or of any property or service provided or made available by Owner or Agent under this Agreement by any utility ser-vices including, without limitation, electricity, plumbing, gas, water, air conditioning, sprinkler or other pipes and sewage systems, or the loss, interruption or stoppage thereof, or by the bursting, leaking, over flowing or running over of any tank, sink, washstand, closet, waste or other pipes in or on the Property, or for any injury or damage occasioned by water coming in to the Property from any source whatsoever, or for any damage or injury arising from any acts or neglect of any occupant or other persons in, on or adjacent to the Property or of any adjacent property occupants, or of the public unless, and then only to the extent that such damage or loss results from a wanton and willful act of Owner or Owner’s gross negligence. In the event Owner and /or Agent, including their respective trustees, officers, directors, attorneys, agents, and employees, and all their respective heirs, personal representatives, administrators, successors and assigns, is made a party to a claim or a suit related to Guest(s) use of the Property, each Guest(s) agrees to release, hold harmless, and indemnify and defend Owner and Agent, including their respective trustees, officers, directors, attorneys, agents, and employees, and all their respective heirs, personal representatives, administrators, successors and assigns, from all claims arising out of such losses or damages, including reasonable Attorney’s fees and costs.
  1. ENTIRE AGREEMENT This Rental Agreement constitutes the entire agreement between the parties with regard to the subject matter hereof, and supersedes all previous agreements between the parties. There are no representations, warranties or agreements between the parties other than those in, or incorporated into this Rental Agreement. No dealings between the parties shall be permitted to contradict, add to, or modify the terms of this Rental Agreement. This Rental Agreement may only be modified in a writing signed by Agent and Principal Guest(s).
  1. ATTORNEY’S FEES In any Proceeding that in any way relates to or arises out of this Rental Agreement or a modification hereof, the prevailing party shall be entitled to recover from the non-prevailing party reasonable attorney fees and costs (whether or not otherwise recoverable by law) in addition to all other relief that it obtains. “Proceeding” means any action, suit litigation, alternative dispute resolution mechanism, inquiry, hearing, investigation or proceeding of any kind commenced in, transferred to, confirmed by or appealed to a court or tribunal of any kind.
  1. CONTROLLING LAW, VENUE, JURISDICTION The parties’ rights and obligations are governed by, and this Rental Agreement shall be construed and enforced under the laws of the State of Hawaii. Each party irrevocably (a) consents to the jurisdiction of all federal and state courts in Hawaii for all matters relating to or arising out of this Rental Agreement; (b) agrees that venue for any proceeding arising under this Rental Agreement shall be the State of Hawaii; and (c) agrees not to seek, and hereby waives the right to request any change of venue or transfer.
  1. EXECUTION Guest(s), jointly and severally, and Agent (as Agent for Owner) agree to all of the terms and conditions of this Rental Agreement and acknowledge that any violation of any term or condition, or any of the rules described in Section 6, constitutes grounds for Agent, with or without notice, to cancel this Rental Agreement, in which case, Agent immediately shall be deemed to have earned the Rent. Agent and each Guest, for itself, agrees (a) it had a full and fair opportunity to consult with its independent legal counsel, tax counsel and other advisors and (b) it has read, considered and understands this Rental Agreement.
This Reservation is NOT confirmed until complete information of the traveling parties has been provided and the deposit has been received by Private Homes Hawaii. Private Homes Hawaii may cancel this reservation should the guest information and/or the deposit not be received in a timely manner. THE FOLLOWING APPLIES TO GUESTS OF HUALALAI RESORT ONLY: DAILY RESORT GUEST FEE - IMPORTANT NOTE: The Daily Resort Guest Fee is separate from the total stated in this Rental Agreement and is paid directly to the Four Seasons Resort Hualalai
  1. DAILY RESORT GUEST FEE Hualalai Resort requires guests to register with the Club Concierge. The Club charges an optional Daily Resort Guest Fee for those guests wishing to utilize the Hualalai Club Facilities. RATES ARE SEASONAL, SUBJECT TO CERTAIN “RESTRICTIONS” AND SUBJECT TO CHANGE WITHOUT NOTICE. Please call Hualalai at (808) 325-8453 for additional information.

Payment of the fee and compliance with the Resort’s policies provides for the following privileges at the Resort (additional fees apply as appropriate):

Alaka’i Nalu (Ocean Activity Center)

Hualalai Championship Golf Course (Nicklaus Course only)

Hualalai Resort Sports Club & Hualalai Spa

Hualalai Tennis Club

Resort Restaurants with the exception of Member-only venues (Canoe Club & Ke’olu)

Kids for All Seasons children’s program (additional fees apply)

The Four Seasons Hualalai beach and pool services (subject to restrictions)

Hualalai Resort Club Concierge Services, a resort-wide charge account and charge

Booking Restrictions During Festive (December 18, 2022-January 4, 2023), Peak of Peak (March 16-April 17, 2022), and Peak (January 4-March 15, June 26-August 20, November 20-November 28, 2022) Seasons:

Dining & Activity Reservation Policy: Dining and activity requests can be made with Club Concierge up to two weeks prior to the start of the resort access dates provided Club Concierge's forms have been completed.

Chaise Lounge Policy applies: Chaise lounges on the pool decks may be reserved for registered guests of the Four Seasons Hotel and Hualalai Club Members only. Chaises for residential and rental guests will be available on the lawns and on the beaches, as directed by pool staff.

  1. GOLF CARTS The Guest(s) will have use of the golf cart(s) located in the enclosed garage during occupancy. The golf cart(s) may be used only within the Hualalai Resort on golf cart pathways, and they are not licensed for general road use. The Guest(s) is/are responsible for the proper use, care, supervision, and safekeeping of the carts during occupancy. Under no circumstances will the Guest(s) allow any person who does not possess a valid United States driver's license to drive a golf cart. During occupancy, the Guest(s) agrees/agree to be fully responsible for any and all damage to the carts, and further agrees/agree to be fully responsible for any and all damages, injuries (including death), and other liability that results from anyone's use of the carts regardless of who was driving the carts at the time that any damage, injuries, death, or other liability occurs. This responsibility also extends to fines and other penalties that might be imposed on owner(s) or agent(s) by the Hualalai Resort for the improper use of golf carts by Permitted Guests(s) or their invitees, employees or assigns.
During occupancy, Guest(s) agrees/agree to maintain a comprehensive general and automobile liability insurance policy covering bodily injury, including death, and property damage arising from the use of the cart(s). The golf cart(s) should be recharged overnight, every night, and whenever the battery indicator shows a low battery condition. The chargers are located inside the enclosed garage.
  1. GOLF COURSE MAINTENANCE & OTHER EVENTS Please note that certain golf course maintenance procedures are performed three times annually for optimal health of the fairways and greens. A process of green aerification and fairway verti-cutting is scheduled for late May and mid September each year and while the course remains open for play, conditions are not the best for a few weeks. If you are traveling close to this time and golf is a part of your plans, please call the Hualalai Club Shop at 808-325-8480 for more specific information.

Special Events/Exclusive Groups that affect and may limit access to amenities: A few times a year, Hualalai Resort hosts events that limit access to amenities to include dining, pool availability, etc. Those events are normally but not limited to: January - Mitsubishi Electric Championship hosted by PGA Tour (Annually, 3rd Week of January) - Hualalai Golf Course is closed to tournament play only this week!

The week following Thanksgiving - Chairman's Club is a Private, Resort-Wide Event. Resort Amenity Facilities are limited during this week! Please call the Hualalai Club Concierge at 808-325-8480 for more specific information.
